Job summary
Within the Legal Business Line, the Domiciliation team provides clients with domiciliary and corporate secretary services. The team provides support for traditional investment funds/vehicles (“Mainstream”) and alternative investment funds/vehicles such as real estate, infrastructure, private equity and private debt, etc. (“PEREs”).
The role of the Corporate Officer is to manage a portfolio of clients throughout the legal lifecycle of Mainstream and PEREs undertakings for collective investment funds (“UCI”) and corporate entities for which CACEIS acts as a service provider.
MAIN ACTIVITIES
- Ensure compliance with all legal and regulatory requirements regarding the proper execution of domiciliary and corporate secretary activities.
- Act as the client contact and be accountable for the proper execution of the domiciliation and corporate secretary services for a portfolio of clients, work autonomously, take ownership and responsibility for allocated tasks.
- Organize with the support of the Corporate Support Officer and participate to shareholders’ meetings (“AGM/EGM”).
- Review the draft of the AGM/EGM minutes, prepare all related documents and follow-up with clients until final approval and execution.
- Organize board of directors/managers’ meetings (“Board”), handle all related tasks (setting board’s agenda and pack, preparation of resolutions, minutes taking) and follow-up with clients until final approval and execution.
- Provide assistance to clients and other operational teams within CACEIS and adopt a client-centric approach to ensure client satisfaction on every level.
- Participate to internal projects and various group initiatives, act as internal business support in relation to incorporation questions, corporate legal framework update and issued links to offering documents interpretation and ensure that the management is always informed on time on any issues to anticipate and mitigate the associated risk.
- Share clients specificities and expectations with peers to ensure continuous quality of service and recommend actions to be taken to improve clients’ satisfaction.
- Provide senior support and coaching to team members.

Required skills
Prepare for legally required meetings (board of directors, shareholders meetings, etc.) within the required timeframes by coordinating among the various contributors and ensuring the consistency of the information submitted.
Write legal documentation (minutes, etc.)
Analyse the legal documents associated with the life cycle of a UCI in terms of their compliance with the regulatory framework in order to recommend corrective actions or perform the formalities required (act, update to tools, etc.)
Manage the collection and processing of client requests (internal and/or external) to provide the functional response meeting the quality requirements as soon as possible
Technical skills required
Independently use most of the standard functionalities of office software in the context of unit activities
