Job summary

The role of the Corporate Officer is to manage, for a given portfolio of international clients, the legal corporate aspects of the AIFs (Private equity, Real Estate, Private Debt, Infrastructure...) UCIs and commercial companies for which CACEIS is a service provider.

MAIN ACTIVITIES
Corporate secretariat for UCIs and commercial companies
 Organise the meetings of the Boards of Directors and General Shareholders Meetings (ordinary and extraordinary)
 Write the minutes of General Shareholders Meetings, proxies and notices to shareholders
 Write the minutes of meetings of the Boards of Directors and circular-resolutions on topics pertaining to the routine affairs of the UCIs and commercial companies
 Prepare documentation relating to the organisation of extraordinary shareholders meetings to modify the articles of association (extraordinary shareholders meeting minutes, meeting notice, circular-resolution on meeting and revision of articles of association)
Assistance with audit responsibilities
 Ensure that the governance structures of the UCIs and companies approve within the regulatory time frames all financial reports, regulatory reports (e.g. Long Form Report) and all other documents relating to the audit responsibilities of the auditors and fulfil the legal and regulatory obligations to submit to the local oversight authority and share with investors and other parties

 Centralise documentation and track, provide assistance with and submit documents specific to the auditing duties of the auditors within legal and/or client-imposed deadlines
Domicile
 Monitor, update and manage documents relating to the directors (such as valid identity documents, Trade-Commerce Registry excerpts, etc.);
 Write procedures associated with Domicile activities

 Establish various publications
 Process and respond to requests from internal and external clients
 Participate in the drafting of operational procedures affecting the unit’s activities

Minimal education level

Required skills

Prepare for legally required meetings (board of directors, shareholders meetings, etc.) within the required timeframes by coordinating among the various contributors and ensuring the consistency of the information submitted.
Write legal documentation (minutes, etc.)
Analyse the legal documents associated with the life cycle of a UCI in terms of their compliance with the regulatory framework in order to recommend corrective actions or perform the formalities required (act, update to tools, etc.)

Manage the collection and processing of client requests (internal and/or external) to provide the functional response meeting the quality requirements as soon as possible

Technical skills required

Independently use most of the standard functionalities of office software in the context of unit activities (level 3)

Languages

Work in English with any type of contact on complex topics (level 3)
